Zenas BioPharma Replaces Stock-Sale Offering With Up To $200 Million In Fresh Capacity

Zenas BioPharma, which develops treatments for autoimmune diseases, replaced its stock-sale offering Friday with capacity to sell up to $200 million in common shares, according to an 8-K made public after the market closed. The company had sold approximately $153.2 million under the previous offering.

Fresh Capacity Through Jefferies

The replacement ends the old offering rather than adding to its remaining balance. Zenas terminated approximately $46.8 million of unused capacity, and further share sales will take place under the replacement offering.

Jefferies remains the sales agent under the agreement Zenas entered into on October 8, 2025. That arrangement lets Zenas sell stock at market prices from time to time, with the company deciding whether to sell.

The $200 million is a ceiling on potential sales, not money already raised through the replacement. For existing shareholders, sales would bring money into the company while increasing the number of common shares outstanding. The discretionary structure leaves the pace of those sales with Zenas.

Drug Development Before Product Sales

Zenas is still developing its medicines rather than selling approved products. Its annual report for the fiscal year ended December 31, 2025, describes a clinical-stage business with no approved products and no revenue from product sales.

The company's focus is autoimmune disease, where the immune system attacks the body's tissues. Its lead experimental treatment, obexelimab, is an antibody intended to inhibit B cells—a type of immune cell—without depleting them.

Obexelimab has been studied across eight clinical trials, with 383 participants receiving doses. Its late-stage trial for IgG4-related disease enrolled 194 patients.

Zenas is also developing orelabrutinib, an oral treatment candidate for progressive multiple sclerosis, as well as candidates at earlier stages of development. The company has licensed a program to a partner in greater China.

The replacement gives Zenas another route to stock-market funding while its business remains in drug development; any share sales remain at the company's discretion.
