Pritzker Family Keeps 88.8% Of Hyatt Voting Power As Trusts Sell 412,624 Shares

The Pritzker Family Group retained 88.8% voting power in Hyatt Hotels, which runs and licenses hotels and resorts, according to an SEC ownership amendment filed Friday. The update covered trust sales totaling 412,624 shares, while the family's combined common-stock stake stood at 54.3% under the amendment's conversion assumptions.

Ten Votes Preserve Family Control

Hyatt's two share classes explain the gap between ownership and control: Class B shares carry ten votes each, compared with one for Class A shares. Holders can convert a Class B share into a Class A share on a one-for-one basis.

The family-group compilation, drawn from separately filed ownership disclosures, put its holdings at 49,952,787 Class B shares and 766,775 issued Class A shares. The group held 95.7% of the Class B stock, giving it the dominant vote when both classes vote together.

Those percentages use Hyatt's outstanding shares as of October 23, adjusted for conversions associated with the reported sales. The calculations assume no other Class B conversions.

Sales Span Several Trusts

The 412,624-share sales total belongs to the trusts in the transaction schedule—not solely to trusts represented by 1953 Private Family Trust Company LLC. Thursday's sales involved ACPS P.G. Trust, DJPS P.G. Trust, JSPV P.G. Trust, TSPV P.G. Trust and Settlement T-551-7; KLP 2006-N3 Family Trust sold shares Monday, Tuesday and Wednesday.

The reporting trustees collectively held 2,973,736 Class B shares, equivalent to 3.2% of all common shares and 5.3% of voting power on the amendment's basis. Those holdings are distinct from the wider Pritzker Family Group's aggregate.

Within that trustee total, 1953 Private Family Trust Company held 1,546,641 Class B shares for its trusts. Its cover-page ownership percentage was 3.6% of Class A on a basis that includes conversion of those shares. Bank of Nova Scotia Trust Company (Bahamas), acting for its trusts, held 1,279,126 Class B shares; Andrew D. Wingate, Lucinda Falk and Zena Tamler held 147,969 as co-trustees of DJPS P.G. Trust, rather than individually.

The Hospitality Business Behind The Shares

Hyatt earns fees from hotel management, franchising, hotel services and brand licensing, alongside revenue from owned and leased hotels and distribution services. Its brands include Park Hyatt, Grand Hyatt, Hyatt Regency, Hyatt Place and Hyatt Ziva.

The hospitality company also offers vacation packages and destination services through ALG Vacations and boutique travel booking through Mr & Mrs Smith. At December 31, 2025, Hyatt's portfolio comprised 1,528 hotels and all-inclusive resorts with 372,763 rooms; 2025 revenue was $7,101 million.

The reported sales leave the central ownership fact intact: the Pritzker Family Group's 54.3% stake carries 88.8% of Hyatt's voting power on the stated basis.
