Irenic Reports 6.5% Apollo Commercial Real Estate Finance Stake As Passive Investment

Irenic Capital Management reported a 6.5% stake in Apollo Commercial Real Estate Finance, which finances commercial properties, in a passive SEC ownership disclosure filed Friday. The investment covers 8,410,009 shares, with the reporting parties certifying that they neither bought nor held the securities to change or influence the company's control.

Shared Votes On 8,410,009 Shares

The position gives the reporting parties shared authority to vote and dispose of 8,410,009 shares, with no sole authority over either action. The disclosed percentage uses a base of 128,544,353 outstanding shares as of August 24, 2026, drawn from Apollo Commercial Real Estate Finance's annual proxy filing.

Irenic Capital Evergreen Master Fund held the position on October 30 and intends to transfer the shares to ICM ARI Investor. The master fund wholly owns that entity, and Irenic Capital Management manages the master fund.

The joint disclosure also names Adam Katz, Irenic Capital Management's chief investment officer, and Andrew Dodge, its director of research. Both are managing members of the general partners of the investment manager and master fund. Their reported beneficial ownership concerns the same position held through the fund and its entity, rather than separate personal blocks of shares.

A Commercial Mortgage Loan Portfolio

Apollo Commercial Real Estate Finance originates loans, buys real estate debt and manages those investments, targeting commercial properties in the United States and Europe. Its lending business earns income from the difference between loan returns and borrowing costs.

The portfolio includes first mortgages and subordinate loans, which are repaid behind senior debt. As of December 31, 2025, the company held approximately $8.7 billion in commercial mortgage loans, $62.2 million in subordinate loans and other lending assets, and $842.9 million in real estate assets.

The company operates as a real estate investment trust, with external management provided by an Apollo Global Management subsidiary. Apollo Commercial Real Estate Finance's market capitalization stood at $310 million at Friday's close.

The planned share transfer is to an entity wholly owned by the master fund; the disclosed position remains one 8,410,009-share investment.
