Warrant accounting, satellite costs and customer revenue errors would raise the 2024 loss but reduce the 2025 loss.

Sidus Space Plans Restatement — Preliminary Corrections Would Cut Shareholders’ Equity By $15 Million

Sidus Space, which builds satellites and onboard computing systems, plans to restate its financial results, with preliminary corrections expected to reduce shareholders’ equity by approximately $15.0 million as of June 30, 2026. Its audit committee and management concluded Monday that the affected statements should no longer be relied upon, according to an SEC filing made public Friday after markets closed.

Losses Move In Opposite Directions

The restatement covers the annual financial statements for the years ended December 31, 2024 and December 31, 2025, and the interim statements for the three months ended March 31, 2026 and the three and six months ended June 30, 2026. Earnings releases, presentations and other communications based on those results also should no longer be relied upon.

Sidus preliminarily expects its 2024 net loss to increase by approximately $12.5 million, primarily because warrants must be remeasured as liabilities. The 2025 loss would decrease by approximately $5.5 million. Expected losses would increase by approximately $2.6 million for the first quarter of 2026, $1.5 million for the second quarter and $4.1 million for the first half.

The balance-sheet corrections extend across every affected reporting date. Compared with the original figures, Sidus preliminarily expects:

  • At December 31, 2024, assets to decrease approximately $0.2 million, liabilities to increase $17.9 million and shareholders’ equity to decrease $20.0 million.
  • At December 31, 2025, assets to decrease approximately $1.0 million, liabilities to increase $8.0 million and shareholders’ equity to decrease $10.9 million.
  • At March 31, 2026, assets to decrease approximately $5.5 million, liabilities to increase $6.1 million and shareholders’ equity to decrease $13.5 million.
  • At June 30, 2026, assets to decrease approximately $5.6 million, liabilities to increase $7.5 million and shareholders’ equity to decrease $15.0 million.

Equity classified between debt and ordinary shareholders’ equity would increase approximately $1.9 million at each date. All estimates remain unaudited and subject to revision.

Warrants And An Uncommissioned Satellite

The warrant error concerns 3,409,946 warrants issued to investors on December 17, 2024. Cash-redemption provisions meant Sidus should have recorded them as liabilities rather than equity, initially booking approximately $4.7 million and subsequently putting changes in their value through earnings.

LizzieSat 2 launched in December 2024, but Sidus could not establish communications despite signs that the satellite was functioning. Because it was not ready for use, approximately $0.3 million of depreciation recorded each quarter should be reversed. Management now expects a first-quarter 2026 write-down of approximately $4.0 million—the satellite’s full carrying value—because commissioning had become remote.

Sidus also expects to expense VPX preproduction prototype costs previously recorded as assets: approximately $1.7 million in 2025, $0.7 million in the first quarter of 2026 and $0.3 million in the second quarter. Those prototypes had no alternative future use, making the costs research and development expenses.

These products sit within a business that sells satellite platforms, hosts payloads, provides engineering and manufacturing services, and sells computing products. Sidus also makes precision parts for space and defense customers and operates satellite missions from an around-the-clock control center.

Revenue Waits For Mission Operations

A customer contract tied to LizzieSat 4 accounts for another correction. Sidus recognized $0.75 million in 2023, $0.5 million in the third quarter of 2024 and $0.4 million in the second quarter of 2026 based on billing milestones. Management determined that the work before commissioning did not transfer goods or services to the customer.

Sidus expects to record $1.65 million as a contract liability at June 30, 2026, rather than revenue, until commissioning and contract performance begin. The 2023 amount would be corrected through an adjustment to accumulated deficit at January 1, 2024.

Financing cash flow is not expected to change. Operating and investing cash flows would be reclassified, including moving a certificate of deposit from cash equivalents to short-term investments beginning in 2025.

Management expects to find material weaknesses—deficiencies in financial-reporting controls—and conclude those controls were ineffective at the affected dates. Its control assessments for December 31, 2024 and 2025 also should no longer be relied upon.

Sidus intends to file restated statements as soon as reasonably practicable. Its continuing review could identify additional errors and delay filings; the preliminary estimates also exclude the pending quantification of temporary-equity treatment for placement-agent warrants.
