Vanguard Capital Management Reports 5.04% Stake In Sidus Space
The Vanguard unit holds 5,096,801 shares but has sole voting power over only 662,371 of them.
Vanguard Capital Management reported owning 5.04% of Sidus Space, or 5,096,801 shares, in a passive ownership filing made Friday. Sidus Space, which builds satellites and the computing hardware and software that go on them, saw its shares fall in Friday trading.
Votes cover a fraction of the stake
The filing lists September 30, 2026 as the event date. Vanguard Capital Management reports sole voting power over 662,371 shares and shared voting power over none, while its power to dispose of the shares covers all 5,096,801.
The position is counted on the Rule 13d-3 basis, and it includes holdings of Vanguard affiliates and of Vanguard funds, or portions of them, over which the unit exercises dispositive power. Vanguard certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of Sidus Space.
A small-cap space contractor
Sidus Space, based in Merritt Island, Florida, also makes precision parts for space and defense customers. Its products include the LizzieSat satellite platform and AI-enabled computing systems that process data in orbit. Its 10-K for 2025 names NASA, the Department of Defense, SpaceX and Blue Origin as customers.
Shares traded at $1.11 in Friday trading, down 4.31% from the prior close of $1.16, for a market value of $117 million.
A new director days earlier
Sidus Space announced that Hassan R. Baqar, a finance executive and certified public accountant, joined its board and Audit Committee effective October 28. Founder and CEO Carol Craig said his experience, together with Audit Committee Chair Larry Swets' leadership, gives the board strong financial oversight as the company grows.
Vanguard's filing puts the voting power it holds outright at 662,371 shares, against 5,096,801 shares it can dispose of.
