Wendy's Ad-Fund Bad-Debt Reserve Hits $33.2 Million As Franchisees Fall Behind

Wendy's, the hamburger chain that earns royalties, fees and rent from franchisees, has set aside $33.2 million against uncollectible receivables in its national advertising fund, up from $9.3 million at year-end, according to its 10-Q filed Thursday. The build-up followed franchisee payment delays and the bankruptcy of one large operator, Meritage.

A reserve that more than tripled

The allowance for doubtful accounts on ad-fund receivables stood at $33,213 thousand at September 27, 2026, against $9,267 thousand at December 28, 2025. The company booked a $24,630 thousand provision in the first nine months, compared with $996 thousand a year earlier. Gross receivables in the fund rose to $97,643 thousand from $84,350 thousand.

Company-wide, the allowance reached $42,442 thousand, up from $20,892 thousand at year-end.

The charge hits earnings. Franchise support and other costs rose to $26.9 million in the third quarter from $17.5 million, which the filing attributes primarily to a higher provision for doubtful accounts. Net income fell to $15.1 million from $44.3 million.

Meritage and the cash squeeze

The 10-Q says Wendy's delivered a termination notice on September 16, 2026 to franchisee Meritage over $27.4 million in overdue fees. Meritage filed Chapter 11 the next day. In its earnings release, Wendy's said it signed a letter of intent with Meritage and its lenders to acquire up to 163 restaurants, subject to a definitive agreement, better and higher offers, and court approval.

The filing says franchisee payment delays and deferrals reduced operating cash flow. Operating cash flow was $239.0 million for the first nine months, against $275.3 million a year earlier. It also notes S&P placed the Class A-2 notes on CreditWatch negative on September 29, 2026.

Traffic is the root problem

U.S. same-restaurant sales fell 5.7% in the third quarter and 6.8% for the nine months, as lower traffic outweighed a higher average check. Royalties and ad-fund contributions are percentages of franchisee sales, so fewer customers means smaller payments. Certain of the largest franchisees now have payment deferral arrangements, the filing says.

Wendy's also guarantees $95.8 million of leases, mostly at former company restaurants now run by franchisees, with terms through 2045. The company said the recorded liability for probable losses on them was not material.

Wendy's was operating 7,194 restaurants at quarter-end, with 5,289 of its U.S. restaurants run by 204 franchisees, so the franchisees' health bears directly on its fee income.
