Wendy's shares climbed 16.94% to $7.18 in Wednesday trading, as of 9:44 a.m. ET, adding $198 million in market value after a group led by Nelson Peltz's Trian Fund Management and Flynn Group offered $7.35 a share in cash to take the fast-food chain private, according to the group's SEC filing.

A $1.4 billion non-binding bid

The proposal is non-binding, all cash and carries no financing condition, according to a Yahoo Finance report on the filing. It values Wendy's at about $1.4 billion, assuming 194.0 million fully diluted shares.

Trian, which holds a 16.3% stake, has teamed with BlueFive Capital and Sixth Street Partners. It plans to roll over its shares and expects to reach definitive agreements in coming weeks, pending a special committee's recommendation.

The stock was on pace for its biggest one-day gain since June 24, when it rose 25.7%. Even after the jump, shares sat below the $10.12 high of the past year, well above the group's $7.35 offer.

A chain in the middle of a turnaround

Wendy's operates and franchises quick-service restaurants built around hamburgers, and earns money from company-run restaurants plus royalties, fees and rents from franchisees. As of December 28, 2025, it had 7,397 restaurants in the U.S. and 38 foreign countries and U.S. territories.

The shares were down about 26% year to date as of Tuesday's close, while the S&P 500 was up about 13%, and sat 33% below their highest close of the past year, set on August 25.

In August, Wendy's said revenue rose 1.7% to $570.6 million in the second quarter, but U.S. same-restaurant sales fell 7.0%. It withdrew its 2026 outlook and cut its dividend. CEO Bob Wright said then that "Our traffic, our value proposition and franchisee economics are not meeting our expectations."

The committee and the earnings date

A special committee of independent directors must now evaluate the offer. Wendy's reports third-quarter results on Thursday, November 5.

The special committee's recommendation is the gate to any definitive agreement, and third-quarter results on November 5 are the next scheduled look at the business.
