Axalta Merger Clears EU Hurdle — AkzoNobel Agrees To Sell European Vehicle Refinish Business

Axalta Coating Systems, which makes paints and finishes for vehicles and industrial products, and AkzoNobel received conditional EU approval Friday for their proposed all-stock merger. The companies said in a merger release filed with the SEC that AkzoNobel agreed to sell its European vehicle refinish business to address competition concerns.

Selling The European Refinish Overlap

The proposed sale targets the business where the companies compete in coatings used to refinish vehicles. The companies said the remedy would remove their overlap across the European Economic Area, the UK and Switzerland, fully addressing the European Commission’s preliminary concerns.

The Commission identified no competition problems in other markets, according to the companies. They said the divestment would maintain competition and customer choice in Europe’s vehicle refinish coatings market while preserving the merger’s strategic benefits.

A Broader $17 Billion Coatings Business

The companies project approximately $17 billion in revenue for the combined business. Its product range would span decorative paints and industrial coatings, alongside powder, aerospace, vehicle refinish, mobility, marine and protective coatings.

Vehicle repair is a substantial part of Axalta’s existing operations. Its Performance Coatings business supplies refinish products and color-matching tools to about 96,000 body shops, as well as liquid and powder coatings to industrial manufacturers. The segment serves customers in more than 140 countries.

Axalta’s Mobility Coatings business sells directly to light-vehicle and commercial-vehicle manufacturers at over 200 assembly plants. Axalta had approximately 12,300 employees as of December 31, 2025.

AkzoNobel’s CEO Would Lead The Combination

Greg Poux-Guillaume, AkzoNobel’s chief executive, would become CEO of the combined company. Chris Villavarayan, Axalta’s CEO and president, would serve as deputy CEO.

Villavarayan said the combination would help the companies serve customers globally and “accelerate investment in differentiated technologies.”

Axalta’s market capitalization was $7.8 billion in Friday trading as of 2:07 p.m. ET.

The companies expect the merger to close in early 2027, with additional regulatory approvals still pending.
