Peltz's Trian And Flynn Offer $7.35 A Share In Cash To Take Wendy's Private
The non-binding bid is an approximate 20% premium to the October 27 close, and Trian plans to roll over its roughly 16.3% stake.
Nelson Peltz's Trian and restaurant operator Flynn Group, backed by BlueFive Capital and Sixth Street Partners, offered $7.35 a share in cash on Wednesday to buy the Wendy's shares they do not already own and take the burger chain private. The proposal to the Wendy's board is non-binding, and the group put the price at an approximate 20% premium to the October 27 close.
Terms of the $7.35 offer
The proposal letter assumes about 194.0 million fully diluted shares. That count is about 190.7 million common shares, 12.0 million stock options with a weighted average exercise price of $15.57, and 3.3 million restricted stock units.
The Trian Group holds roughly 16.3% of Wendy's, the letter says, and intends to roll its shares into the deal. Trian would also agree to vote in favor. The group expects a Delaware merger that needs approval from a majority of outstanding shares.
The buyers say they need no new debt and the offer carries no financing condition. They expect to deliver equity commitment letters at signing and anticipate Wendy's existing securitization financing would stay in place after closing.
The buyers' case against staying public
The letter says Wendy's faces pressure on the US consumer, persistent commodity inflation and intensifying competition in burgers. It adds that the company must manage approaching debt maturities and fund heavy capital needs "under the short-term pressure of public markets." Private ownership, the buyers argue, would provide "patient, long-duration capital" to restore the business and the franchise system.
Wendy's operates and franchises hamburger restaurants. As of December 28, 2025, it had 7,397 restaurants, and franchisees ran 5,546 of its 5,969 U.S. locations. Flynn, which says it operates more than 340 Wendy's restaurants, is one of the largest US franchisees. The letter also points to Trian's purchase of Janus Henderson earlier this year for approximately $8 billion.
How Trian and Flynn are tied together
A cooperation letter between the two sets 12 months of exclusivity, and they split joint expenses 50-50. It bars Flynn from acquiring any Wendy's securities or economic exposure to them.
The buyers expect a special committee of independent directors to weigh the offer and make a recommendation to the board. They say they are ready to complete confirmatory due diligence and are "highly confident" they can negotiate definitive agreements "over the coming weeks." They reserve the right to withdraw or change the proposal at any time.
The filers said they do not plan to update the public on the proposal until a definitive agreement is signed, unless securities law requires it.
