Porch Group's Insurance Reciprocal Can Sell Up To 10 Million Porch Shares Under New StoneX Program

Porch Group, a homeowners insurance company that also sells software and services to home buyers, and the Porch Reciprocal Exchange it manages signed an at-the-market stock sale agreement with StoneX Financial on Friday. It lets the Reciprocal sell up to 10 million Porch shares it already holds, and lets Porch sell up to 5 million newly issued ones.

Turning restricted stock into admitted assets

The Reciprocal, a policyholder-owned insurer that Porch manages, holds about 16.2 million Porch shares. A significant portion is either a non-admitted asset or subject to limits on affiliate holdings under Texas insurance law, according to the filing.

Selling some of the stock would convert it into cash that counts as fully admitted assets on the Reciprocal's statutory financial statements. The Reciprocal may use proceeds for purposes including strengthening its admitted surplus, improving liquidity and diversification, financing acquisitions, meeting regulatory requirements and maintaining its financial stability rating, or paying claims and expenses.

Porch will receive no proceeds from the Reciprocal's sales. Proceeds from Porch's own shares may go to general corporate purposes.

How the sales would work

Sales would be gradual at-the-market offerings, with StoneX acting as sales agent on a commercially-reasonable-efforts basis. Porch or the Reciprocal pays StoneX a 1.5% commission on gross proceeds.

Neither party has to sell anything, and sales can be suspended or the agreement terminated. Under the agreement, the agent may sell shares for only one of the two parties at a time.

Arrives after a guidance raise

The program comes two days after Porch reported third-quarter results and raised its full-year outlook for Porch-owned segments revenue to $518 million to $523 million.

The Reciprocal's statutory surplus stood at $174.4 million, up $22 million from a year earlier. Porch also has a pending acquisition of Allied Trust, which CEO Matt Ehrlichman said is expected to position the company for a meaningful step forward in 2027.

Porch's Reciprocal offers property insurance in 20 states, and the company earns management and other fees from it.

Whether either side actually sells is up to them: the agreement obliges neither to move a single share.
