Venrock Healthcare Capital Partners III and six affiliated entities and partners hold 8,861,763 ordinary shares of Entera Bio, or 5.1% of the class, according to a Schedule 13G filed Friday. The passive ownership disclosure covers a position as of October 23.

Who holds the 8.9 million shares

The percentage is based on 173,922,428 ordinary shares outstanding as of October 1, 2026, the count Entera gave in its definitive proxy statement filed October 14, 2026.

Three vehicles hold the stock: VHCP Healthcare Capital Partners EG with 4,580,160 shares, Venrock Healthcare Capital Partners III with 3,891,972, and VHCP Co-Investment Holdings III with 389,631.

Nimish Shah and Bong Koh are the voting members of the two management entities that control those funds. Voting power over all 8,861,763 shares is shared, and none of the seven reporting persons has sole voting power. The seven describe themselves as a group.

A passive stake, certified

The filers certified that the shares were not acquired and are not held to change or influence control of Entera. That certification is what lets them use the short-form passive filing.

Entera shares closed at $3.20 at Friday's close, up about 3%, for a market value of about $543 million.

An oral-drug developer with no approved products

Entera, based in Jerusalem, is a clinical-stage company developing tablet versions of peptide and protein therapies usually given by injection. Its N-Tab platform is designed to protect large peptides in the digestive tract and help them absorb into the bloodstream, according to its annual report.

The lead program is EB613, an oral teriparatide tablet for osteoporosis, and Entera holds global rights to it. Other candidates target hypoparathyroidism, obesity and short bowel syndrome. In the oral GLP-1/Glucagon program run with OPKO Biologics, Entera and OPKO keep 40% and 60% of proceeds, respectively.

In an October 27 press release, Entera named Juan Camilo Arjona Ferreira, an Organon executive, to its board as successor to director Haya Taitel.

Arjona Ferreira's board appointment takes effect December 1.
