Marriott CEO Anthony Capuano Sells 63,355 Shares For $26.6 Million

Marriott International President and CEO Anthony Capuano sold 63,355 shares for $26.6 million on Wednesday, according to an SEC filing Friday. Marriott, which franchises, licenses and operates lodging properties, had gained about 35% this year as of Thursday's close.

Cash Sales And A Separate Gift

Capuano received an average of $420.12 a share in the sale. The transactions also included a 5,000-share gift on Wednesday, separate from the shares sold for cash.

The sale was Capuano's first reported Marriott sale in the period beginning August 8, 2026, through Friday, based on a review of his SEC insider-trading reports. That comparison covers sales, rather than gifts, grants or shares withheld for taxes.

Shares Retained After The Transactions

Capuano also exercised 16,428 stock appreciation rights with an exercise price of $139.54. These awards settled in Marriott Class A common stock; 10,823 underlying shares were retained to pay the exercise cost and associated withholding taxes, leaving him with 5,605 shares from the exercise.

After the reported transactions, Capuano held 50,867 common shares directly and another 1,958.003 indirectly. His total Class A common-stock holding was 52,825.003 shares.

Capuano also retained 28,040 restricted stock units directly. Those awards are reported separately from his common shares, rather than as part of the common-stock total.

Marriott's Fee-Based Lodging Network

Marriott earns fees from hotel owners using its brands and systems, management fees from hotels it runs, and branding fees when developers sell residential units. Its brands cover lodging from luxury through midscale, and its business also includes timeshare properties.

At the end of 2025, Marriott's network comprised 9,805 properties and 1,779,936 rooms across 145 countries and territories. Of those properties, 7,644 were franchised, licensed or in other categories, while 2,017 were company-operated.

Marriott organizes its business geographically across the U.S. and Canada; Europe, the Middle East and Africa; Greater China; and Asia Pacific excluding China. It managed the employment of approximately 414,000 associates at year-end 2025.
