Marriott CEO Anthony Capuano Plans To Sell 57,750 Shares Worth $24 Million

Marriott CEO Anthony Capuano plans to sell 57,750 shares of Class A common stock with an aggregate market value of $24.0 million, according to a Form 144, the notice insiders file before a planned sale. The filing came Wednesday and lists November 4, 2026 as the approximate sale date.

Shares from two vestings

The shares come from restricted stock units that vested as compensation, one batch on February 15, 2024 and the other on February 15, 2026, the filing says.

J.P. Morgan Securities LLC is the named broker for the sale.

A stock near its peak

Marriott, which franchises, operates and licenses hotels and other lodging properties under brands from luxury to midscale, closed at $424.87 on Wednesday. That sits within 5% of its 52-week high of $433.30; the low for the period is $263.50.

As of Tuesday's close of $416.38, the stock was up 34.2% this year and 57.8% over 12 months.

The business behind the stock

Hotel owners pay Marriott fees to use its brands and systems, and the company also earns management fees on hotels it runs. At the end of 2025, its system included 9,805 properties in 145 countries and territories, according to its annual report.

Form 144 notices cover a window of roughly 90 days, so the sale could be executed on the stated date or spread out within that period.
