Ingersoll Rand CEO Reynal Gets $17.1 Million Equity Award Tied To Earnings Growth, Term To 2032
The board extended the CEO's agreement to February 29, 2032 and promoted two group presidents after a segment executive retired.
Ingersoll Rand, which makes compressors, vacuum pumps, blowers and other flow equipment for industrial and life science customers, gave Chairman and CEO Vicente Reynal 226,098 performance stock units valued at about $17.1 million, an 8-K shows. The company also promoted Scott Watson and Shaun Carlson to group presidents after segment executive Mike Weatherred retired, it said Friday.
A five-year bet on earnings growth
The units are expected to be granted on November 23, 2026. They vest only if Reynal stays through December 31, 2031 and adjusted earnings per share compound at an annual rate of at least 8% over the period from January 1, 2027. Half the units vest at 8% growth and all of them at 10%, with linear scaling in between.
An annual return-on-capital test then adjusts the result by up to 10% in either direction. The filing values the grant at about $17.1 million, based on the closing stock price on October 27.
A separate component lets Reynal earn stock options for each year from 2027 through 2031. Adjusted earnings per share growth of 9% over the prior year earns options on 50,000 shares, and growth of 10% or more earns 100,000, with scaling between. The options vest after five years.
The board said the award is meant to motivate Reynal and keep him as CEO "for the foreseeable future."
Longer term, higher salary
The amended employment agreement pushes the end of his initial term to February 29, 2032, from September 1, 2027, with automatic one-year renewals. Base salary rises to $1,200,000 from $1,100,000, and the 150% target bonus is unchanged.
Severance now includes a prorated annual bonus. If he is terminated within the window around a change in control, severance rises to 1.5 times base salary from one times. The company said this matches its executive change-in-control and severance plan.
The agreement also allows personal use of the company's leased aircraft, so long as incremental costs to the company stay at or under $400,000 a year.
Two internal promotions
Watson, who led the Life Science Technologies platform, becomes group president of Industrial Technologies and Services for North America and EMEIA. Carlson, who led the Precision Technologies platform, becomes group president of the Precision and Science Technologies segment. Both report to Reynal, and the press release calls the moves internal promotions.
Weatherred, who ran that segment's demand generation and execution, gave notice of retirement on October 27 and will serve as an adviser through May 2028.
The company said its businesses have grown in scale and complexity, driven partly by more than 80 acquisitions since 2020, and that the new roles sharpen accountability for commercial execution.
The performance stock units are expected to be granted on November 23, 2026.
