ClearPoint Neuro's Note Interest Goes All-Cash As Revenue Payments To Oberland Affiliate Loom
The device maker's first note stopped paying half its interest in kind in September, and nine-month interest expense reached $4.2 million.
ClearPoint Neuro, which makes systems for minimally invasive brain surgery, has stopped paying half the interest on its first note in kind: the last such payment came in September, and interest on that note is now all cash, its quarterly report says. The company calls out higher cash interest costs, with revenue-share payments to the lender's affiliate starting in 2027.
Cash interest takes over
Under the 2025 note purchase agreement with an affiliate of Oberland Capital Management, interest on each note is split 50% cash and 50% in kind during its paid-in-kind period. The first note's period ended with the September 2026 payment. The Third Tranche Note's last in-kind payment comes in March 2027.
Either in-kind window can be lengthened by up to two quarters if the company gives the purchaser agent notice at least one business day ahead of the interest date. Once a period ends, the company says, cash used to service interest will rise.
Nine-month interest expense reached $4.2 million, against $1.3 million a year earlier. The company ties the jump to notes issued in May and November 2025.
A revenue cut starts in 2027
Starting in the first fiscal quarter of 2027, the Oberland affiliate collects quarterly payments equal to 0.375% of Net Revenue, applied to no more than $50.0 million of Net Revenue per fiscal year. The sale of the Third Tranche Note raised that percentage by 0.15%, payable through that note's maturity. The prior quarterly report dated the start as January 1, 2027.
The notes carry no financial covenants and are secured by a lien on substantially all assets, including intellectual property.
Cash rebuilt by selling stock
Cash stood at $46.2 million on September 30, up from $29.4 million at June 30. The company sold 1,530,000 shares under its at-the-market program for $22.0 million net, leaving $27.5 million of capacity. Net cash used in operations for nine months rose $8.2 million to $20.1 million.
Third-quarter revenue rose 36% to $12.1 million, the company said in its earnings release, though gross margin slipped to 58% from 63%. The nine-month net loss was $28.3 million. Management says cash is enough for at least twelve months.
The business sells the ClearPoint system, which guides electrodes, biopsy needles, laser catheters and drug infusions in the brain, plus IRRAS's fluid-management system bought in 2025.
Fixed rent adds to the load
Risk factors flag the new San Diego laboratory lease, whose final phase opened in July, as carrying rent fixed regardless of whether the facility earns enough. Minimum lease payments total $36.4 million, or $22.9 million after a $13.5 million discount to present value.
The company's market value was about $296 million at Wednesday's report; the next dated step is the March 2027 payment ending the Third Tranche Note's in-kind phase.
