Charter Gives Interim CFO Kevin Howard A $925,000 Salary And A 175% Target Bonus

Charter Communications will pay interim chief financial officer Kevin Howard a $925,000 annual base salary plus a target cash bonus of 175% of that salary, according to an 8-K filed Tuesday. The board's Compensation and Benefits Committee approved the changes Monday, October 26, for the period Howard holds the interim post.

Salary, bonus and a three-year stock grant

The company said the adjustments recognize Howard's interim role. Beyond the salary and the 175% target bonus opportunity, he was granted restricted stock units on October 26 with a grant-date fair value of $250,000.

The units cliff vest on the third anniversary of the grant date, meaning they vest all at once rather than in installments. Howard must remain employed by Charter through that date to receive them.

A dual role at a cable giant

Howard signed the filing as Executive Vice President, Interim Chief Financial Officer, Chief Accounting Officer and Controller, so he is carrying the finance chief's duties alongside his other titles.

Charter provides internet, mobile, TV and voice services under the Spectrum brand, mostly over a fiber-powered cable network. As of December 31, 2025, it had about 31.8 million customer relationships, including about 29.7 million internet customers and 11.8 million mobile lines.

Preferred dividend in the same filing

The same 8-K carried a separate item: Charter's board declared the regular quarterly dividend on its Series A Cumulative Redeemable Preferred Stock, $0.43750001 per share. It is payable in cash on January 15, 2027, to holders of record at the close of business on December 31, 2026.

Howard's restricted stock units will not vest until the third anniversary of the October 26 grant, and only if he is still employed at Charter then.
