Charter Posts Pro Forma Schedule Treating Cox Deal As Closed On January 1, 2024
An 8-K points investors to a revised trending schedule on ir.charter.com that carries the 8-K's own pro forma figures nowhere in the filing itself.
Charter Communications said in an 8-K filed Monday that it has posted a revised trending schedule online, with pro forma financial and operating data built as if its Cox Communications transactions had closed on January 1, 2024. The filing itself contains no figures from the schedule.
What the 8-K says
The filing falls under Item 7.01, Regulation FD disclosure, the rule that requires companies to share material information with the public broadly. Charter said it filed the 8-K to tell the public the schedule is on its investor relations website, ir.charter.com.
The schedule incorporates pro forma information, meaning figures presented as though the deal had been in place earlier. This is supplemental data, not a formal restatement of reported results.
Charter said it completed the Cox Transactions on August 19, 2026. The 8-K was signed Monday by Kevin D. Howard, Charter's executive vice president, interim chief financial officer, chief accounting officer and controller. It names Charter, CCO Holdings, LLC and CCO Holdings Capital Corp. as registrants.
The company said the Item 7.01 disclosure is furnished to the SEC and shall not be deemed "filed" for any purpose.
What it changes
The deal's pro forma baseline now sits in one place on Charter's website. A holder can line up the company's historical trends against a combined-company version that starts at the beginning of 2024, instead of the date the deal actually closed.
The numbers themselves are not in the 8-K, so anyone comparing them has to go to ir.charter.com.
Charter shares closed at $108.51 in Monday's session, down 1.45% on the day, according to market data. The 8-K was accepted at 4:07 p.m. ET, after that close.
The next step is on ir.charter.com, where the schedule itself, not the 8-K, holds the pro forma numbers.
