Bausch + Lomb Director Nathalie Bernier Resigns, Weeks After CEO Brent Saunders Left
Her exit comes with accelerated vesting of unvested 2026 share units, tied to a mutual release, and the board does not plan to fill her seat.
Bausch + Lomb director Nathalie Bernier resigned from the board and its Science and Technology Committee on Wednesday, the company said in an 8-K, and the board does not currently intend to fill her seat. The departure follows the October 12 exit of CEO and director Brent Saunders.
A payout tied to a mutual release
Bernier told the company of her decision on Wednesday, effective at the close of business. In connection with the resignation and a general mutual release of certain claims, Bausch + Lomb agreed to pay her prorated cash compensation for her service.
The company also agreed to fully accelerate vesting of her outstanding, unvested restricted share unit awards from the 2026 annual grant. Those are stock awards that normally vest over time.
The filing says her resignation was not the result of any disagreement with the company on operations, policies or practices.
A thinner board, an interim CEO
The board does not currently intend to fill the vacancy her exit creates, so it shrinks by one seat.
Her departure comes after Saunders left on October 12. Board chairman Thomas J. Appio then became interim CEO, while remaining chief executive of Bausch Health.
An eye-care maker with a dominant parent
Bausch + Lomb makes eye health products, including contact lenses, lens care products, eye drops, prescription eye medications, intraocular lenses and surgical systems. According to its 10-K for 2025, Vision Care made up 57% of revenue, Pharmaceuticals 25% and Surgical 18%.
Bausch Health Companies directly or indirectly held approximately 88% of Bausch + Lomb's common shares as of February 11, 2026. Appio's dual role as interim CEO of the subsidiary and chief executive of Bausch Health sits against that ownership.
Bernier's exit was the second board-level change at Bausch + Lomb in about two weeks, after Saunders's October 12 departure.
