Wayfair CEO Niraj Shah Sells $13 Million of Company Stock
His 10b5-1 sales since July 21 now total 324,000 shares and $34.6 million, and he reports 127,994 shares after Thursday's sale.
Wayfair CEO and co-founder Niraj Shah sold 117,000 shares on Thursday at an average of $111.25, about $13.0 million, according to a Form 4 filed Monday. Shah made the sales under a 10b5-1 plan he put in place on May 6, 2026, the filing says.
What the Form 4 shows
The sale cleared in three blocks, all open-market and all from his direct holdings: 49,203 shares at a weighted average of $110.36, 44,893 at $111.62 and 22,904 at $112.44. Each average covers many trades within a one-dollar band, the filing says.
After the sales, Shah reports 127,994 shares. Of those, 105,137 are held directly and 22,857 through SK Ventures LLC, a firm of which the filing says he is a member and may be deemed a beneficial owner.
The shares sold equal 47.76% of the 244,994 he reported before this filing, leaving 52.24% of that stake. The remaining shares were worth about $14.3 million at Monday's close.
Wayfair shares closed Monday at $111.98, up about 4% for the session, according to market data. The stock was up about 7% this year as of Friday's close, with a 52-week range of $55.60 to $119.98.
A monthly pattern
Shah's earlier sale filings in the 90-day window since July 21 show the same rhythm: 69,000 shares each on August 12, September 14 and October 12. Those sold at roughly $103 to $106 a share, together 207,000 shares and $21.6 million.
With Thursday's sale, four sale filings since July 21 cover 324,000 shares and $34.6 million. Thursday's block was larger than each of the earlier three.
What to watch
Earlier sales landed in mid-month, so the next filing under this plan would show whether that cadence holds.
The next Form 4 from Shah will show whether the mid-month selling continues under the May 6 plan.
