Wayfair CEO Niraj Shah Plans To Sell 117,000 Shares After 8 Sales In 3 Months
A Form 144 lists a proposed $13.0 million sale, on top of $24,081,826 of sales by Shah and his foundation.
Wayfair co-founder and CEO Niraj Shah filed notice of a planned sale of 117,000 Class A shares, with an aggregate market value of $13.0 million by the form's own estimate. The filing, a Form 144 (the notice insiders file before selling restricted stock), lists Thursday as the approximate sale date.
What the Form 144 says
The form names Fidelity Brokerage Services LLC as the broker and gives an approximate sale date of 10/15/2026. Shah is listed as both an officer and a director.
The shares are Founders Shares, acquired on 01/01/2002 from the issuer as compensation, according to the filing.
Eight sales in three months, two sellers
The same form reports eight sales in the past three months totalling 231,000 shares and $24,081,826 in gross proceeds. They came from two accounts, not one.
- Shah's own account sold 207,000 shares for $21,560,326 across three sales, on 08/12/2026, 09/14/2026 and 10/12/2026.
- The separate Shah Charitable Foundation sold 24,000 shares for $2,521,500 across five sales, between 08/04/2026 and 10/12/2026.
Each of Shah's own sales was 69,000 shares. The proposed 117,000-share sale is not broken out by seller in the portion of the form we read.
Where the stock stood
Wayfair shares closed Thursday at $111.93, up 6.82% for the session, according to market data. They are up 11.5% this year and 37.7% over 12 months as of that close, inside a 52-week range of $55.60 to $119.98.
Whether the planned sale goes through will show up in a follow-up SEC filing.
