Sprouts Technology Chief Bahrenburg Leaves Role, Will Advise Through March 31, 2027
An 8-K says the exit involved no disagreement with the company, and he stays on as an advisor with equity still vesting.
James Bahrenburg stepped down as Chief Technology Officer of Sprouts Farmers Market on Monday, the company said in an 8-K filed Wednesday. He will stay on as an advisor through March 31, 2027.
What the 8-K says
The filing, made under Item 5.02, the section that covers departures of principal officers, dates the exit to October 12. The company said the departure was not the result of any disagreement with it on any matter relating to its operations, policies or practices.
Bahrenburg will advise the company through March 31, 2027 to support an orderly transition. During that service, his existing equity awards will keep vesting, and he will be eligible for amounts due under the company's cash bonus plan.
He is also eligible for severance benefits under the company's Amended and Restated Executive Severance and Change in Control Plan. The filing was signed Wednesday by Brandon F. Lombardi, the company's Chief Legal Officer and Corporate Secretary.
What it changes
The technology chief's seat is now vacant on paper. The 8-K names no successor and does not describe an interim arrangement.
For holders, the filing's terms are the practical detail: unvested equity does not lapse on departure, and it continues to vest while he advises. The advisory period ends March 31, 2027.
The stock
Sprouts shares closed at $64.65 at Wednesday's close, up 1.65% on the session, before the filing was accepted at 4:03 p.m. ET. The news came after the market closed, so that move does not reflect the disclosure.
The next marker in the filing is March 31, 2027, when Bahrenburg's advisory service is set to end.
