Ryder Plans A $240 Million Pension Charge That Cuts Fourth-Quarter Earnings Guidance To Near Zero

Ryder System, which provides outsourced logistics and transportation services across North America, expects to book about $240 million in non-cash, pre-tax pension settlement charges in the fourth quarter, or $4.30 per share. The company's 10-Q, filed Thursday, ties the charge to moving its U.K. and Canadian pension obligations to insurers.

Guidance dips to around zero

The charge drags Ryder's own fourth-quarter outlook for standard-accounting earnings per share to a range of negative $0.15 to positive $0.05, according to the earnings release. Excluding the pension items, comparable EPS is forecast at $4.25 to $4.45.

For the full year, GAAP EPS is guided to $9.75 to $9.95, while comparable EPS was raised to $14.85 to $15.05. The release says the pension settlement will have no effect on shareholders' equity.

How the pension handoff works

The U.K. plan still owes about $299 million, which Ryder plans to clear this quarter by passing annuity-payment administration to the insurer it contracted in 2023. In October, a similar transfer under a 2025 contract cleared the Canadian plan's roughly $39 million.

The charge accelerates losses previously parked in accumulated other comprehensive loss, a balance of $614 million at September 30. The 10-Q says they will not affect shareholders' equity or cash flows.

The prior quarter's 10-Q had described only the Canadian settlement, then pegged at $40 million. In the second quarter, Ryder paid $19 million in lump sums to Canadian participants, which produced an $8 million charge.

A strong quarter underneath

Third-quarter diluted EPS from continuing operations was $4.16, up 25% from a year earlier, on total revenue of $3.4 billion, up 8%. Comparable EPS was $4.33, up 21%. Ryder says it remains on track for over $70 million in earnings benefits from strategic initiatives this year.

The company reports three segments: fleet leasing and rental, supply chain services, and dedicated transportation. The market value is $9.2 billion as of Thursday's report.

Fourth-quarter results will show whether the U.K. transfer closes and the charge lands as expected.

Ryder's 10-Q lists a change in the timing or circumstances of the U.K. settlement among its risk factors.
