A group led by Pale Fire Capital, which counts Dusan Senkypl among its control persons, bought 648,356 shares of Dole in open-market trades from Tuesday through Thursday, a joint SEC filing shows. The purchases, worth about $8.6 million, lift the group's reported holding to 10,282,620 shares.
Three days of buying
All the shares were bought through Pale Fire Capital SICAV a.s., and none is held directly. The filing, a Form 4 (the report insiders file after trading), was made jointly by Pale Fire Capital SE, two of its units, Senkypl and Jan Barta. Together they may be deemed a group owning more than 10% of Dole's shares.
The trades came in three pieces:
- 45,676 shares on Tuesday at a weighted average price of $13.24.
- 438,900 shares on Wednesday at $13.12.
- 163,780 shares on Thursday at $13.39.
The overall average came to $13.19. Each reporting person says he or it owns the shares only to the extent of a financial stake in them.
Senkypl is chairman of the board of Pale Fire Capital. Barta chairs its supervisory board and also serves as chief investment officer at Pale Fire Capital investicni spolecnost a.s., the fund's manager.
A stake worth about $139 million
At Thursday's close of $13.52, the group's 10,282,620 shares were worth an estimated $139.0 million. Dole's stock is down about 12.5% this year as of Wednesday's close and sits within 5% of its 52-week low of $12.52.
Dole grows, sources, distributes and markets fresh fruit and vegetables, according to its annual report. Its bananas, pineapples and plantains come mainly from Latin America, and as of December 31, 2025, it operated in 30 countries.
Earlier purchase in October
Senkypl's filings show one earlier purchase since July 24: 5,700 shares on October 12 at about $13.28 a share, or $76K. Counting this week's trades, purchases since that date total 654,056 shares, or $8.6 million.
Further Form 4 filings from the group would show whether the buying continued past Thursday's purchase.
