Pale Fire Capital Group, Chaired By Groupon CEO Senkypl, Reports 9.6 Million Dole Shares
A joint SEC filing says the five-party group may collectively own more than 10% of Dole's ordinary shares.
Pale Fire Capital SE and four co-filers, including Dusan Senkypl, reported 9,628,564 Dole shares in a joint initial ownership filing with the SEC on Wednesday. The filing says the group may collectively own more than 10% of Dole's ordinary shares.
What the filing says
The report is a Form 3, the initial ownership statement filed by holders of more than 10% of a company's shares. Filers are Senkypl, Jan Barta and three Pale Fire entities. The event date on the form is Friday, October 9.
All 9,628,564 shares are held indirectly. The filing says they are owned directly by Pale Fire Capital SICAV a.s., and none are held directly by the other filers.
The filing says each reporting person may be deemed a member of a Section 13(d) group, meaning a group treated as one holder for ownership reporting. Each disclaims ownership of the shares except to the extent of his or its financial stake.
The form describes how the ownership chain runs. Pale Fire Capital SICAV's investment manager is Pale Fire Capital investicni spolecnost a.s., and Pale Fire Capital is the sole shareholder of both entities. Senkypl chairs the Pale Fire Capital board and is a control person. Barta also controls the group, chairs its supervisory board and serves as the manager's Chief Investment Officer.
What it changes for Dole holders
Dole's register now shows a group that crosses the 10% line and has to report. The group's stake is valued at about $129.7 million at current prices, an estimate.
Dole closed Wednesday at $13.47, down about 10% this year and up about 3% over 12 months. Its 52-week range runs from $12.52 to $16.57.
The filing names Senkypl as a control person of the group, and describes the entire 9,628,564-share position as held through one fund vehicle, Pale Fire Capital SICAV a.s.
