Madison Avenue Group Reports 6.4% Passive Stake In Ultragenyx, 6,307,798 Shares

Madison Avenue International LP and five affiliated reporting persons disclosed a 6.4% stake in Ultragenyx Pharmaceutical, or 6,307,798 common shares, in a Schedule 13G filed Tuesday. A 13G is the passive ownership disclosure; the filers certified the shares are not held to change or influence control of the company.

What the filing says

The percentage is based on 98,588,873 shares outstanding as of June 30, 2026, a figure the filing takes from Ultragenyx's quarterly report filed August 5, 2026. The filing lists October 13, 2026 as the date of the event.

The six reporting persons are Madison Avenue International LP, Madison Avenue Partners, LP, EMAI Management, LLC, Madison Avenue GP, LLC, Caraway Jackson Investments LLC and Eli Samaha. All share a New York business address. Madison Avenue International is a Cayman Islands partnership, and it holds the shares directly.

The others are deemed beneficial owners through their roles. Madison Avenue Partners is the fund's investment manager and Madison Avenue GP is its general partner. Samaha is the non-member manager of Madison Avenue GP, managing member of EMAI Management and majority owner of Caraway Jackson.

Voting power is entirely shared: each reporting person shows zero shares with sole voting power and 6,307,798 with shared voting power.

What it changes

Ultragenyx now has a disclosed holder above 5% in a passive filing. The certification says the position is not aimed at control, so the filing carries no activist intent.

Ultragenyx closed at $16.02, up 6.30%, at Tuesday's close, with a market value of about $1.5 billion. The filing does not link the stake to any move in the shares.

The filing arrives as the drugmaker works to protect Dojolvi. Benzinga reported that Ultragenyx settled patent litigation with Navinta, allowing generic entry starting January 1, 2033. A related report said entry could come in July 2033 with pediatric exclusivity, and that a similar dispute with other generic filers continues.

The remaining Dojolvi patent dispute with other generic filers is still open, per the Benzinga report.
