Kiniksa CEO Sanj Patel Sold $37.4 Million Of Stock Over Three Sessions Under A Trading Plan

Kiniksa Pharmaceuticals chairman and CEO Sanj K Patel sold 402,494 shares through family trusts at an average of $92.92, a transaction valued at $37.4 million, according to a Form 4, the report insiders file after trading. The sales ran on Friday, Monday and Tuesday under a pre-scheduled trading plan.

Three sessions, one trust

All the sales came from shares held by The Anglia 2013 Revocable Trust. The filing says they followed a 10b5-1 plan, a pre-scheduled trading plan filed with the SEC, that Patel executed on July 30, 2026.

Each sale was paired with exercises of fully vested share options, 231,237 shares in all. Three exercises were at $8.83 a share and one, on Tuesday, was at $17.92.

Tuesday was the biggest day. The trust sold 145,708 shares at $93.53 in a single block of trades, part of a day that also included sales at $90.77, $92.70 and $94.25 a share. Friday's sales ranged up to $98.16 a share.

After the sales, Patel holds 966,006 shares, all indirectly through The Anglia 2013 Revocable Trust, The Patel Family Irrevocable Trust of 2025 and The Marina 2016 Irrevocable Trust, and none directly. The sale equals 29.41% of the 1,368,500 shares he reported before the filing, leaving 70.59% of that stake, worth an estimated $90.1 million at Tuesday's close of $93.29.

A stock near its high

Kiniksa, which develops and sells heart and blood vessel therapies, markets one product, ARCALYST, a weekly injection approved in the U.S. for recurrent pericarditis, a painful inflammation of the sac around the heart, and two rare inflammatory conditions. It licenses the drug from Regeneron, which makes it and splits profits with Kiniksa evenly.

The shares closed Monday at $90.80, up 120.1% this year from $41.25 at the 2025 year-end close. They have risen 145.3% over 12 months and trade within a 52-week range of $36.56 to $98.48, so the sales came near the top of that range.

The Form 4 history shows no earlier sale by Patel between August 5 and this filing.

Any further Form 4 filings would show whether the July 30 plan keeps producing sales after Tuesday's trades.
