Lucid Draws $400 Million More From Saudi Fund Affiliate's Loan, Leaving $2.1 Billion Owed

Lucid Group drew $400 million from its Delayed Draw Term Loan facilities on October 6, an 8-K filed Friday shows. The lender is Ayar Third Investment Company, an affiliate of the Public Investment Fund.

What the 8-K says

The filing reports the draw under Item 2.03, the section companies use to disclose a new direct financial obligation. The money came under an existing agreement with Ayar Third, and the draw date was Tuesday, October 6, 2026.

After the draw, the principal outstanding on the loan is approximately $2.1 billion, the company said. Approximately $400 million of additional borrowing capacity remains.

The 8-K does not restate the loan's terms. It points readers to a summary in the current reports Lucid filed on August 5, 2024, November 5, 2025 and April 14, 2026.

Chief Financial Officer Alexander De Bock signed the filing, dated Friday, October 9, 2026.

What it changes for holders

Debt owed to the Public Investment Fund affiliate rose by the amount of the draw, and the unused portion of the facility is now about $400 million, roughly the same size as this latest draw.

The filing gives the two balances, $2.1 billion drawn and $400 million undrawn, and nothing about how the cash will be spent.

On the stock, Lucid closed Friday's regular session at $3.79. In Friday after-hours trading it was at $3.78, down 0.21% from that close, a move recorded before the filing's 4:03 p.m. ET acceptance (market data).

What to watch

The remaining capacity of about $400 million is the headroom left under this facility. The terms in the three earlier 8-Ks govern how it can be used.

Following the October 6 draw, Lucid's filing puts the balance owed at about $2.1 billion and the undrawn capacity at about $400 million.
