Kristin Dolan Reports 105,210 MSG Rangers Shares, Nearly All Held Through Family

Kristin A Dolan, chief executive of AMC Global Media and a director of MSG Rangers, reported holding 105,210 MSG Rangers shares, almost all of them held by family members, in a Form 3, the report a new insider files. The shares were a product of the October 26 spinoff from MSG Knickerbockers.

Mostly family-held shares

Dolan holds just 2,713 shares directly, including 208 owned jointly with her spouse. The other 102,497 are held indirectly, by her spouse and by a minor child and household member.

She disclaims beneficial ownership of the indirect shares and says the filing does not concede that she owns them under federal insider-reporting rules. At Wednesday's close of $186.65 a share, the 105,210 shares were worth an estimated $19.6 million.

The spinoff terms

MSG Rangers, previously MSGS Spinco, was spun out of MSG Knickerbockers, formerly Madison Square Garden Sports. Holders got one Class A and one Class B share for every two shares of the matching class. Class B converts to Class A one for one at the holder's option.

Spouse's restricted stock units

The filing also lists four derivative positions, all restricted stock units held by Dolan's spouse. Each unit entitles the holder to one Class A share or its cash equivalent under the MSG Rangers 2026 Employee Stock Plan.

The units replaced MSG Knickerbockers awards at one MSG Rangers unit for every two held. Schedules differ by grant:

  • The August 29, 2024 award vests entirely on September 15, 2027.
  • The August 21, 2025 awards vest in two equal parts, in 2027 and 2028.
  • The August 26, 2026 award vests in thirds across 2027, 2028 and 2029.

The first of the spouse's units vest and settle on September 15, 2027.
