Equity LifeStyle Board Approves Up To $500 Million Stock Buyback Through October 2027

Equity LifeStyle Properties, which owns manufactured home communities, RV communities and marinas, said its board approved a stock repurchase program of up to $500.0 million on October 27, according to its third-quarter 10-Q filed Tuesday. A tax writedown also weighed on per-share earnings.

How the buyback works

Under the "2026 Stock Repurchase Program," the CEO and CFO may buy shares on the open market or in privately negotiated deals until the earliest of October 31, 2027, exhaustion of the $500.0 million, or a board decision to stop. The program does not obligate the company to buy any specific number of shares, and it can start, pause or end purchases at any time.

The language is new. The prior quarter's filing only said the company weighs "the conditions under which we may repurchase our stock." The new 10-Q also adds a risk factor on share-price volatility that names repurchases, including how they are funded.

A $12.1 million tax charge

The company recorded a $12.1 million full valuation allowance against deferred tax assets of its taxable REIT subsidiaries. That cut third-quarter net income per share to $0.45 from $0.50 a year earlier, and funds from operations (FFO, a REIT earnings measure) per share to $0.72 from $0.77.

Excluding the allowance, normalized FFO rose to $0.79 per share from $0.75, the earnings release showed. Average Core occupancy was 93.8% against 94.3% a year earlier, which the 10-Q attributes mainly to 503 expansion sites added since September 30, 2025. New home sales fell to 97 from 119.

Debt, not buybacks, has paid the bills

Equity LifeStyle had 453 properties in 35 states and British Columbia at September 30, 2026. Its market value was $11.8 billion in Tuesday's report.

The company has leaned on borrowing and an unused $700.0 million at-the-market stock-sale program rather than buybacks. Its line of credit stood at $138,000 thousand at September 30, down from $105,000 thousand at December 31, 2025, and a $200,000 thousand term loan matures January 21, 2027. Remaining line-of-credit capacity was $352.9 million.

The program runs through October 31, 2027, and the $200,000 thousand term loan comes due January 21, 2027.
