BlackRock now beneficially owns 5.03% of Ferrovial, or 36,766,580 shares, according to a passive ownership filing (a Schedule 13G) made Tuesday. The event date it reports is September 30.

Who holds the votes

Of the 36,766,580 shares, BlackRock has sole voting power over 33,284,818 and shared voting power over none, the filing shows. The 5.03% is the cover-page figure under SEC beneficial-ownership rules, measured against Ferrovial's outstanding common shares.

BlackRock certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of Ferrovial. That is the basis on which a passive filing, rather than an activist disclosure, is used.

The filing says various persons have the right to receive dividends or sale proceeds from the stock, and that no one person's interest is more than five percent of the outstanding common shares.

Spread across BlackRock units

The position is held through a range of BlackRock business units, listed in an exhibit. They include BlackRock Fund Advisors, BlackRock Institutional Trust Company, National Association, BlackRock Investment Management, LLC, BlackRock (Netherlands) B.V. and units in Ireland, Japan, Canada, Australia and the UK, among others.

The filing reflects only the units it names; securities held by other BlackRock business units that are reported separately are not included.

The company behind the stake

Ferrovial, whose address in the filing is Symphony Towers in Amsterdam, develops, builds and operates infrastructure. Its four divisions are Highways (toll roads, including managed lanes in the US and Canada where tolls shift with congestion), Airports, Construction and Energy, which builds renewable generation and transmission. It also has a digital infrastructure line focused on data centers and UK waste management plants.

Its seven core markets are Spain, the United States, the United Kingdom, Canada, Poland, Chile and India, according to its 20-F for the year ended December 31, 2025. Its market value stood at $36.2 billion as of Tuesday's report.

The filing puts BlackRock's sole voting power at 33,284,818 shares, the portion of its 36,766,580-share position it can vote on its own.
