BlackRock Reports 6.6% Passive Stake In Expro, 7.4 Million Shares
The asset manager certified it holds the Houston company's shares in the ordinary course of business, not to influence control.
BlackRock holds 7,365,054 shares of Expro, or 6.6% of the company's common stock, according to a passive ownership disclosure filed with the SEC on Tuesday. Expro shares closed at $17.48 on Tuesday, giving the Houston-based company a market value of $1.9 billion.
Voting power and the 6.6% basis
BlackRock has sole voting power over 7,140,302 of the shares and shared voting power over none, the filing shows. The 6.6% figure is the cover-page measure, which counts shares the holder could acquire within 60 days.
The filing sets September 30, 2026 as the event date and classifies BlackRock as a parent holding company. It says various persons have the right to receive dividends or sale proceeds from the shares, and that no one person's interest exceeds 5% of the outstanding common shares.
Which BlackRock units hold the shares
The position is reported on behalf of certain BlackRock business units rather than the whole firm. An exhibit lists them, including BlackRock Fund Advisors and BlackRock Institutional Trust Company, National Association, along with several international asset management arms.
BlackRock's address in the filing is 50 Hudson Yards in New York. Expro's is 1311 Broadfield Boulevard in Houston.
A certification of no control intent
BlackRock certified that, to the best of its knowledge, the shares were acquired and are held in the ordinary course of business. It said they were not bought to change or influence control of Expro, nor in connection with any transaction with that aim.
The certification is what keeps the filing in the passive category: BlackRock says the 7,365,054 shares are an investment holding, with no push for control of Expro.
