Dine Brands Adopts One-Year Poison Pill With 10% Trigger After Reported $39-A-Share Offer
The Applebee's and IHOP parent's rights plan runs to October 27, 2027 and lets other holders buy stock at a 50% discount if triggered.
Dine Brands Global, which owns and franchises Applebee's, IHOP and Fuzzy's Taco Shop, adopted a poison pill on Wednesday that flags any non-passive investor crossing 10% of its stock, the company said in an 8-K filed Thursday. The board said it acted unanimously in response to media reports of heavy open-market buying of its shares and derivatives.
How the pill works
The trigger is 10% for any investor that is not passive and 20% for passive ones, according to the company's press release. Derivative positions count toward ownership, to the extent the counterparties hold actual shares.
Rights go out as a dividend to holders of record on November 9, 2026, and are not exercisable at first. If an investor crosses the line without board approval, every other holder can buy more Dine stock at a 50% discount, and the acquirer's own rights become void.
Each Right covers one one-thousandth of a share of Series A Junior Participating Preferred Stock at $210.00. The 8-K's example: with Dine stock valued at $35, each Right would buy 12 shares for $210.
The board can redeem the Rights at $0.001 each, and the plan expires October 27, 2027 unless ended earlier. Holders already above the threshold are grandfathered at current levels, but the Rights become exercisable if they add shares.
The reported $39 offer
Bloomberg reported this week that Cobblers Cove Capital and Arkhouse Management made a $39-per-share all-cash offer and hold economic exposure to nearly 20% of Dine's shares through swaps and other instruments. Dine's shares rose more than 8% on Wednesday after the report.
The company's release says the plan aims to keep anyone from gaining control without paying all stockholders a proper premium, and says it is similar to many other rights plans. Stockholders need take no action.
A franchisor under pressure
Dine Brands says it is mostly a franchisor: as of December 28, 2025, independent franchisees ran the substantial majority of its 3,509 restaurants. It earns mainly from royalties and advertising fees. IHOP and Applebee's together produced about 74% of 2025 revenue.
Same-store sales at Applebee's and IHOP have been shaky in recent quarters.
The board says the plan should not interfere with any deal it approves, and the Rights end if the board-approved merger closes.
