Devon’s $500 Million Pipeline Investment Plan Comes With About $900 Million In Loss Exposure
Solitude offers access to better gas pricing, but Devon’s contractual exposure exceeds its quarter-end cash balance.
Devon Energy, which produces oil, natural gas and natural gas liquids onshore in the U.S., has approximately $900 million of maximum contractual loss exposure to its Solitude pipeline venture, according to Friday’s quarterly filing. That exceeds both its approximately $500 million expected total investment and its $413 million quarter-end balance of cash, cash equivalents and restricted cash.
The Commitment Beyond The Initial Check
Devon contributed approximately $83 million during the third quarter of 2026 for its 25% stake in Solitude. Devon also secured guaranteed pipeline capacity.
The initial contribution is only part of the financial commitment. Devon’s approximately $500 million investment estimate includes money already contributed; its maximum loss exposure at September 30, 2026 also includes future capital commitments that remain unfunded. The exposure measures the contractual amount at risk, rather than a loss Devon expects to incur.
Solitude sits on Devon’s books as an investment, rather than having its operations combined with Devon’s own results. Devon uses the equity method—accounting for its stake in the venture—because it lacks authority over the activities that have the greatest effect on Solitude’s economic performance.
A Route Away From Waha Pricing
The commercial goal is to improve what Devon receives for Permian gas. Its second-quarter report described negative spot prices at the Waha hub that hurt regional gas prices. Thursday’s earnings release said Solitude gives part of Devon’s Permian output access to Gulf Coast pricing and prices linked to liquefied natural gas, with improved realized prices expected when the system starts service.
The Permian remains central to Devon’s business. Its current operating footprint also includes the Rockies, Eagle Ford, Anadarko Basin and Marcellus Shale. The Permian supplied 35% of Devon’s gas production in the third quarter, while the Marcellus supplied 46%.
Devon’s unhedged gas price reached $1.97 per thousand cubic feet in the third quarter, compared with $0.35 in the second quarter. Devon credited Coterra’s Marcellus output for the higher price. Separately, Thursday’s release said additional Permian transportation capacity entering service narrowed the pricing gap at Waha.
Cash Is Only Part Of Liquidity
Devon’s cash, cash equivalents and restricted cash declined to $413 million at September 30 from $1,009 million at June 30. The pipeline exposure exceeds that cash balance, but Devon also ended the quarter with an undrawn $3.0 billion revolving credit facility and reported $3.4 billion of total liquidity.
Operations generated $2.8 billion of cash during the third quarter. Devon also repaid $750 million of debt and paid $366 million in dividends during the period.
The company has other plans for incoming cash. It agreed on October 8 to sell its Eagle Ford assets to Crescent Energy for $4.2 billion, with completion expected in early 2027. Devon expects approximately $3.5 billion of net proceeds after taxes and effective-date adjustments, earmarked for faster share repurchases and debt reduction.
Thursday’s release outlined approximately $5.3 billion of total capital spending for 2027, adjusted for the planned Eagle Ford sale. That initial outlook anticipates approximately 525,000 barrels of daily oil production and approximately 1,600,000 barrels of oil equivalent a day in total production.
DVN shares edged down 0.58% to $42.63 in Friday trading, compared with a prior close of $42.88. Devon’s market value was $47.2 billion in Friday trading.
Devon plans to provide its full 2027 guidance with fourth-quarter results in February, the next specified update on its capital-spending plans.
