Cullen/Frost Will Leave The NYSE For The Texas Stock Exchange On November 12

Frost Bank's parent, San Antonio-based Cullen/Frost Bankers, is dropping the NYSE as its main listing venue in favor of the Texas Stock Exchange, an 8-K filed Thursday shows. Trading is expected to begin there at the open on November 12, 2026.

The switch, step by step

Both the common stock and the depositary shares, each representing a 1/40th interest in a share of 4.450% non-cumulative perpetual preferred stock, Series B, are expected to stop trading on the NYSE at the close on Wednesday, November 11. They are then expected to start on the Texas Stock Exchange at the open on Thursday, November 12.

The tickers stay the same: CFR for the common stock and CFR.PrB for the depositary shares. The company's board authorized the move, and the press release says shareholders need take no action.

A Texas bank picks a Texas exchange

Cullen/Frost offers commercial and consumer banking, trust and investment management, insurance, brokerage and treasury services, nearly all through Frost Bank. The company said it had $54.5 billion in assets at September 30, 2026, and describes itself as one of the 50 largest U.S. banks, with operations in Austin, Dallas, Fort Worth, the Gulf Coast, Houston, the Permian Basin and San Antonio.

Chairman and CEO Phil Green tied the decision to Texas's economic growth. He said more finance-sector businesses and people are moving into the state, "especially towards the 'Y'all Street' financial district that is emerging in Dallas." Moving the listing, he said, "helps reinforce Cullen/Frost's position as the preeminent Texas-based financial institution."

The exchange's pitch

James H. Lee, Chairman and CEO of the Texas Stock Exchange, said the exchange is "proud to have earned the primary listing of the largest Texas-headquartered bank." He said the decision reflects a shared belief that a strong Texas-based exchange strengthens the flow of capital and the growth of financial-sector jobs in the state.

The last NYSE session for CFR is November 11, and the first on the Texas Stock Exchange is November 12.
