The Holdings Behind The Sale

Seidman retained 782,677 Class A shares: 630,890 directly and 151,787 indirectly. Her separate indirect Class C holding totaled 17,630,246 shares.

Converting nonvoting Alclear Holdings units and Class C shares yielded 176,096 Class A shares. Those Class A shares settled the sale.

Class C shares carry one vote each but no rights to dividends or liquidation distributions. They are issued in amounts matching the Alclear common units. Seidman controls Alclear Investments as its sole manager, including voting and decisions to dispose of its shares.

Airport Subscriptions And Business Verification

CLEAR's consumer business includes CLEAR+, an annual travel subscription priced at $209.00 per member that provides dedicated airport security lanes. The company also offers TSA PreCheck enrollment, a concierge service and a free mobile app.

Its CLEAR1 business serves partners, particularly in healthcare, workforce and government, that need to verify customers or employees. Those partners pay transaction charges and an annual platform fee.

As of December 31, 2025, CLEAR had 38 million total members and 166 CLEAR+ lanes across 60 airports. Its full-time workforce numbered 3,301.
