Boise Cascade Adds Ex-Huber Engineered Woods President Brian Carlson As 11th Director

Boise Cascade, which distributes building materials and makes engineered wood products and plywood, expanded its board from 10 to 11 directors on October 26 and elected Brian Carlson, a longtime Huber Engineered Woods executive, to the new seat, according to an 8-K filed Thursday.

A building-products veteran joins

Carlson spent 30 years at Huber Engineered Woods and was its president from 2007 until he retired in 2025, the company said. He ran a business with more than $1 billion in annual revenue and about 1,000 employees across the U.S.

His roles at Huber spanned research and development, sales, marketing, business development, strategy and innovation. Boise Cascade said he helped lead Huber's shift from a commodity-oriented producer to a specialty building products business with premium brands, and guided it through the housing downturn that began in 2007.

Before Huber he worked for Temple Inland and Neste Resins. He has served on the Harvard Joint Center for Housing Studies Policy Advisory Board.

Board Chair Nate Jorgensen said Carlson brings "extensive building products experience and a strong record of leading business transformation, developing differentiated brands, and building high-performing teams."

Committees, pay and the business he joins

Carlson will sit on the Audit Committee and the Corporate Governance and Nominating Committee. As a non-employee director, he gets the same pay as the other non-employee directors.

Boise Cascade, as of its latest annual report, runs a Building Materials Distribution segment with 40 U.S. distribution facilities and a Wood Products segment that makes laminated veneer lumber, I-joists, laminated beams, plywood and ponderosa pine lumber. Builders FirstSource and Home Depot are its largest customers.

Dividend of $0.23 a share

In the same 8-K, the company said its board declared a quarterly dividend of $0.23 per share. It will be paid on December 16 to stockholders of record on December 1.

The $0.23 dividend is payable December 16 to holders of record on December 1.
