Arista Networks CEO and Chairperson Jayshree Ullal sold 460,374 shares through family trusts on Tuesday at an average $212.09, a transaction valued at $97.6 million, according to a Form 4 filed Thursday. The report is the one insiders file after trading, and it says the sales followed a pre-scheduled trading plan adopted on November 14, 2025.

What the Form 4 says

Every share sold came from trusts. The filing lists the sales as open-market transactions in three price bands on Tuesday: $211.36, $212.27 and $213.06 per share.

The largest block, 259,045 shares at $212.27, came from the main family trust. Two trusts for the benefit of her children each sold 13,179, 51,805 and 781 shares at the same three prices.

A footnote says the plan was entered into for the benefit of her relatives. She is trustee of the children's trusts and has voting and investment control, but she says she is not their beneficial owner.

After the sales she holds 25,297,341 shares: 9,917 directly and 25,287,424 through family trusts. The sale was 1.79% of her holdings. At Thursday's close of $210.97, the stake is worth about $5.34 billion.

A run of plan-based selling

The filing is the latest in a sequence. Her four prior sales in recent filings, from August 5 to September 25, totaled 1,416,969 shares for about $289.6 million.

  • August 5: 767,029 shares at about $201.22, or $154.3 million.
  • August 12: 573,509 shares at about $208.13, or $119.4 million.
  • August 25: 13,809 shares at about $191.79, or $2.6 million.
  • September 25: 62,622 shares at about $211.40, or $13.2 million.

Bloomberg's tally of third-quarter insider selling put Ullal among the top 10 sellers, with 2,226,435 shares sold for $446,013,758. Bloomberg gave her net worth as $8.7 billion and said Arista is benefiting from data-center buildout demand tied to the AI boom.

Where the stock stands

ANET closed Thursday at $210.97, down 2.25% on the day, according to market data. The shares are up 61.0% this year and 34.1% over 12 months, and sit within 5% of the 52-week high of $217.32. In Thursday after-hours trading they were at $211.31.

Further Form 4 filings will show whether the trusts keep selling under the November 2025 plan.
