American Healthcare REIT Opens A $1.75 Billion Route To Sell Shares Over Time
The replacement program allows forward sales that deliver cash when the company settles by issuing shares.
American Healthcare REIT, which owns and operates healthcare properties, signed a program Friday allowing up to $1.75 billion in gross common-stock sales over time, according to an SEC filing. The agreement replaces its previous program and allows forward transactions in which cash arrives when the company delivers shares rather than when borrowed stock is initially sold.
Replacing The Remaining Sales Capacity
The old program, established on February 27, 2026, had approximately $170,134,000 remaining when American Healthcare REIT terminated it Friday.
Management will choose when and how much stock to offer, weighing market conditions, AHR's trading price, capital requirements and alternative funding sources. Sales can take place at prevailing market prices, including on the New York Stock Exchange, or through negotiated transactions such as block trades.
BofA Securities, Citigroup Global Markets and Morgan Stanley are among the agents handling the program. Their commissions are capped at 2% of gross sales, though the agreed rate may be lower. The agents must make reasonable efforts to execute instructions but are not committed to selling a fixed amount.
Forward Sales Delay The Cash
Under the forward option, a bank or other counterparty would seek to borrow existing shares from third parties and sell them through an agent to hedge its position. Those initial sales generate no proceeds for American Healthcare REIT.
The company currently expects to settle any forward agreements by delivering common shares for cash. Subject to exceptions, it can instead choose cash settlement or settlement using a net number of shares.
The cash received upon physical settlement depends on the agreed forward price and the shares delivered. That price adjusts daily for an interest-rate factor and is reduced on specified dates for expected quarterly dividends. Forward-selling commissions also cannot exceed 2%, and are deducted from the initial forward price.
Funding Healthcare Properties And Operations
American Healthcare REIT intends to transfer net proceeds to American Healthcare REIT Holdings, its operating partnership, in return for partnership units. The partnership is expected to use the money for general corporate needs, potentially including future investments.
The business combines property leases with senior-care operations run by third-party operators. Its holdings primarily include senior housing, skilled nursing facilities and outpatient medical buildings across the United States, the United Kingdom and the Isle of Man.
For periods in which program sales occur, the agreement requires quarterly or annual reports to show shares sold, net proceeds and agent compensation.
