Vylor Keeps PwC As Auditor Through The Corteva Spin, With No Auditor Dispute In The 8-K
Vylor's audit committee named PricewaterhouseCoopers for the year ending December 31, 2026, the same firm that audited its carve-out financials.
Vylor's audit committee appointed PricewaterhouseCoopers as its independent auditor on Thursday, October 1, the day the spin-off from Corteva took effect, according to an 8-K disclosed Wednesday. The filing's auditor section mentions no dismissed firm and no disagreements.
What the 8-K says
Under Item 4.01, the 8-K says the audit committee picked PwC to audit Vylor's consolidated financial statements for the fiscal year ending December 31, 2026.
PwC is not new to the business. Corteva, Vylor's former parent, retained it to audit the Seed Business's combined balance sheets as of December 31, 2025 and 2024. The same engagement covered the combined statements of operations, comprehensive income, equity and cash flows for each of the three years ended December 31, 2025. Those financials were included in Vylor's information statement.
Item 4.01 does not mention a dismissed auditor, disagreements or reportable conditions. The only disagreement language in the filing concerns two departing directors, David P. Johnson and Jennifer A. Johnson, whose resignations the filing says were not the result of any disagreement relating to the company's operations, policies or practices.
What it changes
The change is a byproduct of the separation. Corteva completed the spin-off of its seed segment at 12:03 a.m. on October 1, and Vylor began trading on the New York Stock Exchange that day as VYLR, according to the company. Because PwC already audited the carve-out numbers, the same firm now sits on the books of the independent company.
The filing also records the share issuance behind the split: 667,302,930 Vylor common shares went to EIDP, a Corteva subsidiary, and were then distributed to Corteva shareholders.
In Wednesday after-hours trading, Vylor shares were at $74.00, up 1.38% from the regular close of $72.99 (market data). The filing was accepted at 5:21 p.m. ET, after that reading, so the move does not reflect it.
