Vir Biotechnology Adds Cancer Immunotherapy Researcher Suzanne Topalian As Ninth Director

Vir Biotechnology, which develops antibody and other investigational medicines for infectious diseases and cancer, added a ninth director: Suzanne Topalian, a Johns Hopkins cancer immunotherapy professor. Directors approved the larger board on Monday, and her seat took effect Tuesday, according to an 8-K filed Wednesday.

A new Class III seat

The board, acting on a recommendation from its Nominating and Corporate Governance Committee, voted Monday to raise its size from eight to nine members. It appointed Topalian to the new vacancy as a Class III director, serving until the 2028 annual meeting of stockholders.

She also joins the board's Science and Technology Committee. Both appointments took effect Tuesday.

Topalian was not picked under any arrangement or understanding with another person, the filing says, and it reports no related-party transactions with her that require disclosure.

Oncology expertise for a cancer pipeline

Vir's own description calls it a clinical-stage biopharmaceutical company focused on serious infectious diseases and cancer, according to the company announcement. Its pipeline includes a chronic hepatitis delta program and PRO-XTEN dual-masked T-cell engagers for solid tumors.

The company said Topalian is the Bloomberg-Kimmel Professor of Cancer Immunotherapy at Johns Hopkins University School of Medicine. It said she has authored over 180 peer-reviewed publications.

Pay and indemnity terms

As a non-employee director, Topalian receives the standard cash and equity pay under the company's director compensation policy. On her appointment date she received stock option and restricted stock unit grants under the 2019 Equity Incentive Plan, in the amounts the policy sets.

Vir also signed its standard indemnity agreement with her, on top of the protection directors get under the company's bylaws.

Topalian's term runs to the 2028 annual meeting, when Class III directors next face stockholders.
