Vanguard Unit Reports 5.08% Passive Stake In Zoom, 13.4 Million Shares

Vanguard Portfolio Management holds 13,386,140 Zoom shares, or 5.08% of the company's common stock, according to a passive ownership filing made Friday with a September 30, 2026 event date. It can vote only a sliver of them on its own.

Voting power is a sliver

The Vanguard unit has sole voting power over just 37,634 of the shares and shares no voting power with anyone, the filing shows. Sole dispositive power, the authority to decide whether to sell, covers all 13,386,140.

The 5.08% is the cover-page figure under the SEC's beneficial-ownership counting rules, which add anything the holder could acquire within 60 days to both the holding and the share base.

The report also covers Vanguard affiliates Vanguard Fiduciary Trust Company and Vanguard Global Advisers, LLC. It includes shares in Vanguard funds, or parts of them, over which the unit exercises dispositive power, plus client shares those affiliates control. Vanguard certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of Zoom.

Zoom and its recent run

Zoom, which makes video meeting, business phone, team chat and AI assistant software, had 7,438 full-time employees as of January 31, 2026, according to its annual report. No single customer exceeded 10% of revenue in the fiscal year ended on that date.

Zoom shares traded at $94.44 in Friday trading, down 3.30% from the prior close of $97.66, for a market value of $28.5 billion. Before that, the stock gained about 10.2% over the month to October 28, while the software industry fell about 7.1%, Zacks reported.

Zoom reports fiscal third-quarter 2027 results Monday, November 23, after the market close, with a webcast at 5:00 p.m. ET.
