Vanguard Capital Management Reports 5% Passive Stake In NWPX Infrastructure

Vanguard Capital Management reported owning 482,011 shares of NWPX Infrastructure, 5% of the common stock, in a passive ownership disclosure filed Friday. NWPX, the Vancouver, Washington maker of water-related infrastructure products, reported record third-quarter sales days earlier.

A passive stake, with little voting power

The filing carries a September 30, 2026 event date and classifies Vanguard as an investment adviser. It holds sole dispositive power, meaning the power to decide on sales, over all 482,011 shares. Sole voting power covers only 72,423 of them, and shared voting power covers none.

The signer certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of NWPX.

The position combines holdings of Vanguard Capital Management LLC and affiliates, including Vanguard Asset Management Limited and Vanguard Fiduciary Trust Company. It also includes Vanguard funds, or sleeves of them, over which the firm exercises dispositive power.

A pipe maker on a record run

NWPX, formerly Northwest Pipe, makes large-diameter steel pipe for drinking water systems, along with precast concrete pipe, manholes, vaults and stormwater and wastewater products. Customers are mainly contractors building for public water agencies, private water companies and developers.

The company posted record third-quarter results: net sales of $179.4 million and net income of $18.2 million, or $1.86 per diluted share. Its Water Transmission Systems backlog, including confirmed orders, reached a record $435 million.

NWPX also anticipates 2026 free cash flow of $62 million to $72 million.

Shares near $98

NWPX shares traded at $97.62 in Friday trading, down about 0.39% from the prior close of $98.00. That put the company's market value at $944 million.

Vanguard's sole voting power over 72,423 shares is a small slice of the 482,011 shares it reported.
