Votes on a fraction of the stake
The filing, a passive ownership disclosure, lists September 30, 2026 as the event date. Vanguard holds sole voting power over 109,168 shares and shared voting power over none, but sole power to dispose of all 715,063.
The 5.09% is measured on the SEC's beneficial-ownership basis, which counts securities the holder could acquire within 60 days in both the holding and the share base.
The position covers Vanguard Capital Management and several affiliates, including Vanguard Fiduciary Trust Company and Vanguard Asset Management Limited. It includes shares held by Vanguard funds and by clients. Vanguard certified the shares were bought and held in the ordinary course of business, not to influence control of Argan.
A power-plant builder under pressure
Argan, based in Arlington, Virginia, is an engineering and construction firm with Power, Industrial and Teledata segments. Power, which designs and builds plants for independent power producers and utilities in the United States, Ireland and the United Kingdom, brought in $756.5 million, or 80.1% of revenue, in the fiscal year ended January 31, 2026.
The backlog has declined to $2.5 billion from $2.9 billion at the start of fiscal 2027, even as second-quarter revenue rose 62% to $384 million. Simply Wall St reported the stock was down about 31% over three months, with commentary pointing to margin pressure in the Industrial segment. Argan's market value was about $5.0 billion in Friday trading.
Recent commentary expects Argan's second North Carolina fabrication facility to be finished in the third quarter of fiscal 2027.
