Vail Resorts' Lenders Agree To Delete Board-Turnover Trigger From Credit Agreement, 8-K Says

Vail Resorts and its lenders amended the company's credit agreement on October 16 to remove a clause that counted a turnover of most of the board within twelve consecutive months as a change of control, an 8-K shows. The filing is dated Monday.

What the 8-K says

The First Amendment to the Tenth Amended and Restated Credit Agreement was signed by Vail Holdings, a wholly owned subsidiary of Vail Resorts. Certain subsidiaries and the company signed as guarantors, with Bank of America as administrative agent and lenders constituting the Required Lenders.

The original agreement is dated February 9, 2026. Before the amendment, the definition of a Change of Control Transaction included certain changes in the makeup of a majority of the board during any twelve consecutive months. The amendment rewrites the definition to eliminate that provision.

The other two provisions in the definition, which cover acquiring beneficial ownership of, or control over, the company's voting equity securities, were not modified.

The amendment also rewrites Section 10.8(i), on Financial Hedges, to remove the requirement that the administrative agent approve any such hedges.

What it changes

For holders, the practical shift is that a change in board composition alone no longer falls within the credit agreement's change-of-control definition. Ownership and control triggers remain as written.

Vail shares closed at $150.97 in Monday's close, according to market data.

What to watch

The company's 8-K calls its description only a summary, qualified by the amendment itself. A copy of the First Amendment will be filed under SEC rules, and that filing will show the full amended language.

The full amended text, once filed, will show exactly how the new definition and the hedge provision read.
