Vail Resorts Cites Record Guest Satisfaction And Pass Sales Ahead Of Industry In Proxy Filing

Vail Resorts defended its leadership overhaul in a proxy-related filing on Monday, saying 16 months of board and management action has already produced record guest satisfaction scores and higher lift ticket market share. The statement comes ahead of its 2026 annual shareholder meeting.

What the filing says

The filing reproduces a comment Vail Resorts began giving on October 15 in response to journalists' questions, including for a Denver Business Journal article published that day.

The company lists three early proof points: record guest satisfaction scores last year, increased lift ticket market share, and outperformance versus the industry on pass sales for the upcoming season.

It credits an enhanced leadership team, a marketing approach revamped to celebrate what makes each mountain unique, and new pass and lift ticket products and pricing strategies designed to broaden access. In the company's words, the Board and management have taken "decisive action to transform Vail Resorts."

Looking ahead, the company says its focus is disciplined execution of its recently launched Epic Experience strategy, which aims to make every part of the mountain journey more seamless, personalized and memorable.

The proxy fight setup

The filing says Vail Resorts expects to file a proxy statement and a WHITE proxy card for its 2026 annual meeting, for its solicitation of proxies for its director nominees and other matters to be voted on. It urges shareholders to read those documents when filed.

The filing says directors and certain executive officers may be deemed participants in the solicitation. So may Connie Wang, the company's vice president of investor relations, whose interests consist of 1,251 unvested restricted share units.

The filing points to the 2025 annual meeting proxy statement, filed October 30, 2025, for information on directors and executives.

What to watch

The definitive proxy statement and WHITE proxy card, which the company said it expects to file, should name its nominees and the items on the ballot.

Until that proxy statement arrives, the filing's claims about satisfaction, market share and pass sales are the company's own account, with no figures attached.
