The appointment took effect November 2, 2026. Brown will serve as a non-employee director, and the board placed him on its Audit Committee concurrently with his election.

He has been chief financial officer of Tenable Holdings, which the filing describes as a provider of cybersecurity exposure management solutions, since August 2025. Before that he was CFO of Altair Engineering from January 2021 to March 2025.

The filing also lists earlier finance and accounting leadership roles in the technology sector, and says Brown is a Certified Public Accountant.

Pay, indemnity and independence

Brown will be paid under Trimble's compensation practices for non-employee directors, set out in its Board of Directors Compensation Policy. The company also intends to sign its standard form indemnification agreement with him, the contract under which a company protects a director against certain legal costs.

Trimble said no related-party transactions between the company and Brown require disclosure under SEC rules. It also said no arrangement or understanding with any other person led to his selection as a director.

The company he is joining

Trimble reports three segments: Architects, Engineers, Construction and Owners, which sells design, engineering and construction software; Field Systems, which sells surveying, machine control and positioning products; and Transportation and Logistics, which sells freight management and routing software. Its software is sold as subscriptions and licenses.

According to its annual report for the fiscal year ended January 2, 2026, Trimble sells in more than 160 countries through dealers, joint ventures, equipment makers and direct sales. At the end of 2025 it employed over 11,500 people in over 40 countries.

Brown's seat on the Audit Committee began the day he joined the board, November 2.
