Trane Technologies Chair and CEO David Regnery exercised options for 48,091 shares at $78.97 each on Tuesday and sold the same shares at an average $480.00, a $23.1 million sale, according to a Form 4 (the report insiders file after trading) filed Thursday.
What the filing shows
The filing lists two linked transactions on Tuesday: an option exercise that added 48,091 Ordinary Shares, then an open-market sale of the same number. His direct holding after the sale is 96,951.43 shares, and the exercise-and-sale pair leaves no net change in his direct share count.
He also reports 24,500 shares held indirectly through a revocable trust. A footnote says Regnery's spouse established the trust and is its sole trustee and sole beneficiary. The filing keeps the two holdings as separate lines.
The options came from an earlier grant. A footnote says they vested in three equal annual installments starting February 5, 2020.
