Synaptics Principal Accounting Officer Esther Song Resigns; Kermit Nolan, Who Returned In June, To Step In
An 8-K says Song leaves October 28 to pursue other opportunities, and that her exit did not stem from an accounting disagreement.
Synaptics' corporate controller and principal accounting officer, Esther Song, resigned on October 13, effective October 28, according to an 8-K the company filed Thursday. Kermit Nolan, the company's Vice President, Finance, will take over the principal accounting officer role on that date.
What the 8-K says
Song held the titles Vice President, Corporate Controller and Principal Accounting Officer. The filing says she is leaving to pursue other opportunities.
She stays employed, on her current pay and benefits, until her employment ends October 28.
The filing states that her resignation was not due to any disagreement with the company over operations, accounting or other policies or practices.
The company appointed Nolan, who is 67, to the principal accounting officer post on October 13, effective October 28. He will receive no additional compensation for the role.
Nolan's way back, and what it changes
Nolan returned to Synaptics under a consulting agreement on June 10, 2026, to support the internal finance organization. After the company's Chief Financial Officer departed, he became an employee on September 1, 2026, to add support and leadership to the finance team.
That makes the accounting officer handoff the second finance change the filing describes this year: the CFO left first, and now the controller is going.
Nolan has done this kind of work before. He consulted for the internal team from February 2024 to September 2024, during the CFO transition at that time. Before retiring at the end of 2023, he was Corporate Vice President, Chief Accounting Officer, a post he had held since February 2019.
Over a 20-year tenure he also served on the Executive Leadership Committee during a CEO transition, and held the roles of interim Chief Financial Officer and Vice President and Corporate Controller, plus other accounting and tax jobs.
Share price and next date
Synaptics shares closed at $117.55 at Thursday's close, up 0.16% from the prior session. The filing was accepted at 4:16 p.m. ET, after that close.
Both Song's departure and Nolan's formal start as principal accounting officer take effect October 28.
The filing is signed by Lisa Bodensteiner, Senior Vice President, Chief Legal Officer and Secretary, and carries a Thursday signature date.
