Super Micro Names Ex-Intel Fellow Shesha Krishnapura Independent Director, As Judy Lin Retires From Board

Super Micro Computer's board appointed Shesha Krishnapura as an independent director, effective October 9, according to an 8-K filed Thursday. The same filing says director Judy Lin, who chairs the board's Nominating and Corporate Governance Committee, is retiring.
What the 8-K says
The board made the appointment on October 8, the filing says. Krishnapura will serve as an independent director, meaning he is not a company employee.
The filing says he most recently was chief technology officer of Intel IT at Intel and an Intel Fellow. He held leadership roles over a 35-year career, with responsibility for technology strategy, architecture and engineering governance for global computing environments.
His experience, the filing adds, includes high-performance computing, artificial intelligence infrastructure and data center operations. He will receive the company's standard pay for non-employee directors, as described in its annual report for the fiscal year ended June 30, 2026.
Lin's retirement
Lin told the company on October 7 that she would retire from the board, and her service ends October 9. She has been a director since April 2022.
The filing says her decision "was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices." The board thanked her for her service and contributions.
The 8-K reports the two events separately. It does not say Krishnapura is taking Lin's seat.
What to watch
Lin chairs the Nominating and Corporate Governance Committee. The filing does not say who will lead that committee after her exit, or whether Krishnapura will sit on it.
In Thursday trading, as of 4:46 p.m. ET, Super Micro shares were at $42.77, down 4.83%. The filing does not tie that move to the board changes.
Lin's board service and Krishnapura's start both fall on October 9; the 8-K names no new chair for the governance committee.
