Ynon Kreiz, the former Mattel chief who joined Skydance as co-CEO, received 2,625,000 shares of Skydance Class B Common Stock in a grant on Monday, according to a Form 4 filed Wednesday. The shares are valued at roughly $23.3 million, an estimate at current prices.

What the Form 4 says

The filing lists Kreiz's direct holdings at 2,625,000 shares after the grant. That means the grant makes up all of the line reported, and it is worth about $23.3 million at current prices.

The filing also shows two awards coded "A", of 1,250,000 and 423,836 restricted stock units. Each unit converts into one Class B share.

According to the filing's footnotes, the units generally vest in equal quarterly installments over three years, with the first one on December 31, 2026.

What it changes

The awards tie Kreiz's pay to Skydance's stock as he takes on the job. Under the new two-chief structure, David Ellison stays chairman and CEO and will focus on long-term strategy and capital allocation. Kreiz handles day-to-day management and integration of the combined businesses.

Business Insider reported that Kreiz is expected to find $6 billion in savings at a company carrying $80 billion in debt.

Skydance shares traded at $8.87 in Wednesday after-hours trading, down 0.22% from the $8.89 regular-session close (market data).

What to watch

The first quarterly vesting after December 31, 2026 should produce a Form 4, and any further equity awards would appear in new filings. Kreiz's integration plan has not yet taken shape in these documents.
